Studio Tools - Terms of Use

Please read these Terms of Use ("Terms", "Terms of Use") carefully before using the Studio Tools desktop application (the "Application") developed by Deyvid Jaguaribe de Lira ("Developer", "we", "us", or "our").

By downloading, installing, or using the Application, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Application.

1. Acceptance of Terms
By accessing or using Studio Tools, you confirm that you have read, understood, and agree to be bound by these Terms of Use. These Terms apply to all users of the Application. If you are using the Application on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of the Application
Studio Tools is a desktop application designed for Windows and Linux platforms that provides a suite of PDF and image processing tools. The Application includes, but is not limited to, the following features:

- Merge PDF: Combine multiple PDF files into a single document.
- Protect PDF: Add password protection and encryption to PDF files.
- Watermark PDF: Add text watermarks to PDF documents.
- Convert Images to JPG: Convert images from various formats (PNG, BMP, GIF, TIFF, WebP, etc.) to JPG format.
- Convert Images from JPG: Convert JPG images to other formats (PNG, BMP, GIF, TIFF, WebP, etc.).

Additional features may be added or existing features may be modified at any time without prior notice.

3. License Grant
Subject to your compliance with these Terms, the Developer grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the Application on desktop devices (Windows and Linux) that you own or control, solely for your personal or internal business purposes.

4. Restrictions on Use
You agree not to:

- Copy, modify, distribute, sell, lease, sublicense, or otherwise transfer the Application or any portion thereof;
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Application;
- Use the Application for any unlawful purpose or in violation of any applicable local, state, national, or international law;
- Use the Application to process, convert, or manipulate any content that you do not own or do not have the legal right to modify;
- Remove, alter, or obscure any proprietary notices, labels, or marks on the Application;
- Use the Application in any manner that could damage, disable, overburden, or impair the Application or interfere with any other party's use of the Application;
- Use the Application to create derivative works or competing products.

5. Intellectual Property Rights
The Application and all related content, features, and functionality (including but not limited to design, graphics, text, software code, and user interface) are owned by the Developer and are protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any right, title, or interest in the Application except for the limited license set forth in Section 3.

6. User Content and Responsibility
You are solely responsible for all files, documents, images, and content that you process using the Application ("User Content"). The Developer does not access, collect, store, or transmit any User Content. All processing is performed locally on your device.

You represent and warrant that:

- You own or have the necessary rights and permissions to use and process your User Content;
- Your use of the Application does not violate the rights of any third party, including intellectual property rights, privacy rights, or any other rights;
- You will not use the Application to process any content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable.

7. Privacy and Data Collection
Studio Tools respects your privacy. The Application processes all files locally on your device. No personal data or user files are collected or transmitted to external servers at any time.

The Application collects anonymous usage analytics to help improve the product. The following non-personal data may be collected:

- Feature usage: Which tools and features are used within the Application;
- Operating system name: The name of the operating system running the Application (e.g., Windows, Linux);
- Operating system version: The version of the operating system;
- Application version: The version of Studio Tools being used.

This analytics data is collected through the third-party service PostHog. PostHog's use of data is subject to their own Privacy Policy.

No personally identifiable information, user files, or document content is collected, stored, or transmitted through the Application or through the analytics service.

8. Updates and Modifications
The Developer may, from time to time, release updates, patches, or new versions of the Application. These updates may include bug fixes, new features, or security improvements. By using the Application, you agree that such updates may be automatically downloaded and installed. The Developer reserves the right to modify, suspend, or discontinue the Application (or any part thereof) at any time, with or without notice.

9. Disclaimer of Warranties
THE APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

The Developer does not warrant that:

- The Application will be uninterrupted, error-free, or free of viruses or other harmful components;
- The results obtained from the use of the Application will be accurate or reliable;
- Any defects in the Application will be corrected;
- The Application will be compatible with all hardware or software configurations.

10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE DEVELOPER BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

- Your access to or use of (or inability to access or use) the Application;
- Any conduct or content of any third party related to the Application;
- Any content obtained from the Application;
- Unauthorized access, use, or alteration of your files or content;
- Loss or corruption of files processed through the Application.

The Developer's total liability to you for all claims arising out of or relating to the use of the Application shall not exceed the amount you paid for the Application, if any.

11. Indemnification
You agree to defend, indemnify, and hold harmless the Developer from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt arising from:

- Your use of and access to the Application;
- Your violation of any term of these Terms;
- Your violation of any third-party right, including any intellectual property or privacy right;
- Any claim that your User Content caused damage to a third party.

12. Termination
These Terms are effective until terminated. The Developer may terminate or suspend your access to the Application immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Application will immediately cease. You may terminate these Terms at any time by uninstalling and ceasing all use of the Application.

13. Third-Party Services
The Application may utilize third-party libraries, frameworks, or services. The use of such third-party components is subject to their respective terms and licenses. The Developer is not responsible for the availability, accuracy, or content of any third-party services.

14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Brazil, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Brazil.

15. Severability
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary so that the remaining provisions of these Terms will remain in full force and effect.

16. Entire Agreement
These Terms constitute the entire agreement between you and the Developer regarding the use of the Application and supersede all prior agreements, understandings, and communications, whether written or oral, regarding the subject matter hereof.

17. Changes to These Terms
The Developer reserves the right to modify or replace these Terms at any time. If a revision is material, we will provide notice prior to any new terms taking effect. What constitutes a material change will be determined at the sole discretion of the Developer. By continuing to access or use the Application after any revisions become effective, you agree to be bound by the revised Terms.

These Terms are effective as of March 29, 2026.
